1. Scope of Services

Spring Global Innovations Trading & Consultancy (“the Company”) provides B2B sourcing, procurement, and trade consultancy services. We act as a strategic partner connecting Clients with Manufacturers. While we perform due diligence, the final purchase agreement is a contract between the Client and the Manufacturer/Supplier.

2. Order & Sourcing Process

  • Inquiries: All sourcing requests are subject to a requirements assessment.

  • Verification: We provide supplier verification based on available data and factory audits; however, the Company is not liable for manufacturing defects or factory-side production delays.

3. Payment Terms

  • All trade transactions must follow the payment schedules outlined in the specific Proforma Invoice or Service Agreement.

  • Payments for consultancy services are non-refundable once the sourcing research or supplier verification process has commenced.

4. Shipping & Logistics

  • The Company assists in the coordination of shipping and delivery.

  • Risk of loss or damage typically passes to the Client according to the Incoterms (e.g., FOB, CIF, EXW) agreed upon in the individual sales contract.

  • We are not liable for delays caused by customs, port congestion, or international shipping lines.

5. Vehicle & Machinery Sales

  • Second-hand Vehicles: All used vehicles are sourced based on performance evaluations. Clients acknowledge that second-hand units are sold "as-is" unless a specific warranty is provided in writing by the supplier.

  • Compliance: The Client is responsible for ensuring that the imported goods meet the specific regulatory standards of the destination country (e.g., Ghana’s import age limits for cars).

6. Limitation of Liability

Spring Global Innovations shall not be held liable for indirect, incidental, or consequential damages resulting from trade fluctuations, currency exchange shifts, or third-party supplier defaults.

7. Governing Law

These terms are governed by the laws of the Republic of Ghana, and any disputes shall be resolved through arbitration in the relevant jurisdiction.
